Terms of service.

1. Scope of Application

These Terms and Conditions (T&C) apply to all services and digital products provided by True North Strategy (operated by Kristine Knaub), including strategic audits, brand consultancy, downloadable resources, and related digital services. By booking or purchasing through our website, you agree to these T&C.

2. Service Description

True North Strategy offers strategic audits, brand consultancy, and digital resources to help businesses realign their strategy and uncover growth opportunities. Details are described on the respective service pages.

3. Pricing and Payment

  • All prices are in Euros (EUR). As a small business under § 19 UStG, no VAT is charged.

  • Payment for services is due within 7 days.

  • Services begin only after full payment.

  • Digital products require full prepayment.

  • Accepted methods: Bank Transfer, Stripe, Squarespace Checkout

  • Consumer prices are displayed as final total prices (no VAT charged under § 19 UStG), in accordance with the German Price Indication Regulation (PAngV).

Conclusion of contract. By clicking “Pay now,” you submit a binding order. We accept by sending the order confirmation/ invoice. The contract text (your order data and these Terms) is stored by us and sent by email. You can correct entries before payment using the browser back function. Contract languages: German and English (German prevails in case of doubt).

4. Right of Withdrawal

Consumers have a 14-day right of withdrawal (§§ 312g, 355 BGB).

Services: the right expires once the service has been fully performed if you expressly requested performance to begin before the end of the withdrawal period (§ 356(4) BGB).

Digital content not on a tangible medium: the right expires once download/access begins after your express consent and acknowledgment of losing the right (§ 356(5) BGB).

Consent to Early Performance:

By placing an order for a consulting service, the client expressly requests that True North Strategy begin performing the service before the expiration of the 14-day withdrawal period. The client acknowledges that the right of withdrawal is lost once the service has been fully performed (§ 356 Abs. 4 BGB). For digital content, by initiating the download, the client consents to the immediate provision of the digital content and acknowledges loss of the withdrawal right (§ 356 Abs. 5 BGB).

5. Refund Policy

Due to the customized and time-intensive nature of our services, all purchases of strategic audits and consulting are non-refundable once work has begun. Clients are encouraged to carefully review the service descriptions and contact us with any questions before booking.

If a client believes that the delivered service is incomplete or contains material deficiencies, they are invited to provide written feedback within 7 days of delivery. Reasonable clarifications or revisions may be offered at the discretion of True North Strategy.

Digital product purchases are non-refundable once the download process has begun.

6. Client Responsibilities

  • The client is responsible for providing accurate and complete information necessary for the service.

  • True North Strategy is not liable for results based on incomplete or inaccurate data provided by the client.

7. Liability

True North Strategy is not liable for any financial losses or damages resulting from strategic advice or digital materials, as the client remains responsible for implementation. Liability is limited to cases of gross negligence or intent. In such cases, liability is limited to the amount of the contract value. Liability for damages to life, body, or health remains unaffected. Statutory liability under mandatory law remains unaffected.

8. Confidentiality

  • All client data and strategic information will be treated as strictly confidential and will not be shared with third parties, except as required by law.

9. Data Protection

  • The processing of personal data is governed by our Privacy Policy, which can be accessed at: www.truenorthstrategy.co/privacy

10. Jurisdiction and Governing Law

German law applies.Jurisdiction is the seat of Kristine Knaub unless consumer protection laws specify otherwise.

11. Amendments to the T&C

These T&C may be updated. Changes are published on the website or via email.

12. Digital Products and Downloads

  • Digital products offered via the website (e.g. templates, checklists, guides) are delivered digitally and require full payment at the time of purchase via the integrated Squarespace checkout system.

  • Upon successful payment, a download link or email containing access details will be provided.

  • By purchasing a digital product and initiating the download, the customer acknowledges and agrees that the 14-day right of withdrawal is waived, in accordance with § 356 Abs. 5 BGB.

  • No refunds are granted for digital downloads once delivery has commenced.

13. B2B vs B2C Clarification

These terms apply to both consumers (§ 13 BGB) and business clients (§ 14 BGB). Withdrawal rights only apply to consumers.

14. Cross-Border Sales

EU B2B (services): Place of supply per Art. 44 VAT Directive / § 3a(2) UStG; reverse charge per Art. 196 VAT Directive. Invoices are issued without German VAT.

15. Technical Limitations and Downtime

Service interruptions may occur due to platform outages. True North Strategy is not liable for such disruptions.

16. Contract Language and Legal Precedence

In case of translation discrepancies, the German version prevails. Contractual language is German unless agreed otherwise.

17. EU Online Dispute Resolution (ODR): https://ec.europa.eu/consumers/odr/

We are not willing and not obliged to participate in dispute resolution before a consumer arbitration board (§ 36 VSBG).

Section 18. Independent Brand Analyses

True North Strategy publishes independent editorial and educational content, including analyses of third-party brands and businesses. These analyses serve to illustrate strategic principles and methodologies. True North Strategy has no affiliation with, and is not endorsed by, the brands or businesses discussed. Brand names and trademarks referenced in our content are the property of their respective owners and are used solely for purposes of analytical commentary and education. No commercial relationship exists with the analyzed entities unless explicitly stated.

1. Geltungsbereich

Diese Allgemeinen Geschäftsbedingungen (AGB) gelten für alle Dienstleistungen und digitalen Produkte, die von True North Strategy (Einzelunternehmen von Kristine Knaub) angeboten werden, einschließlich strategischer Audits, Markenberatung, herunterladbarer Ressourcen und verwandter Digitalleistungen. Durch Buchung oder Kauf über unsere Website erklären Sie sich mit diesen AGB einverstanden.

2. Leistungsbeschreibung

True North Strategy bietet strategische Audits, Markenberatung und digitale Ressourcen an, um Unternehmen bei der Neuausrichtung ihrer Strategie und der Erschließung von Wachstumspotenzialen zu unterstützen. Details finden sich auf den jeweiligen Angebotsseiten.

3. Preise und Zahlungsbedingungen

Alle Preise verstehen sich in Euro (EUR). Als Kleinunternehmer gemäß § 19 UStG wird keine Umsatzsteuer erhoben. Die Zahlung für Dienstleistungen ist innerhalb von 7 Tagen fällig. Die Leistungserbringung beginnt erst nach vollständiger Bezahlung. Digitale Produkte sind im Voraus zu zahlen. Akzeptierte Zahlungsmethoden: Banküberweisung, Stripe, Squarespace Checkout. Bei verspäteter Zahlung kann ein Verzugszins von 5 % p. a. erhoben werden.

4. Widerrufsrecht

Verbraucher können innerhalb von 14 Tagen widerrufen (§§ 355, 356 BGB). Bei Dienstleistungen erlischt dieses Recht, wenn die Leistung vollständig erbracht wurde und der Kunde vorher ausdrücklich zugestimmt hat (§ 356 Abs. 4 BGB). Beim Kauf digitaler Inhalte erlischt das Widerrufsrecht mit Beginn des Downloads bei vorheriger Zustimmung (§ 356 Abs. 5 BGB).

Mit der Bestellung einer Beratungsleistung fordert der Kunde True North Strategy ausdrücklich auf, mit der Leistungserbringung vor Ablauf der 14-tägigen Widerrufsfrist zu beginnen. Der Kunde nimmt zur Kenntnis, dass das Widerrufsrecht bei vollständiger Vertragserfüllung erlischt (§ 356 Abs. 4 BGB). Bei digitalen Inhalten stimmt der Kunde mit dem Beginn des Downloads der sofortigen Bereitstellung zu und bestätigt die Kenntnis des damit verbundenen Verlusts des Widerrufsrechts (§ 356 Abs. 5 BGB).

5. Rückerstattungsrichtlinie

Maßgeschneiderte Dienstleistungen sind nach Beginn der Bearbeitung nicht erstattungsfähig. Kunden können innerhalb von 7 Tagen nach Lieferung Feedback geben. Klärungen oder Anpassungen können freiwillig erfolgen. Digitale Downloads sind nach Lieferung nicht erstattungsfähig.

6. Pflichten des Kunden

Kunden müssen genaue Informationen bereitstellen. True North Strategy haftet nicht für Ergebnisse, die auf falschen Angaben beruhen.

7. Haftung

Keine Haftung für finanzielle Verluste durch empfohlene Maßnahmen. Die Haftung ist auf grobe Fahrlässigkeit oder Vorsatz beschränkt. In diesen Fällen ist die Haftung auf die Höhe des jeweiligen Auftragswertes begrenzt. Die Haftung für Schäden aus der Verletzung des Lebens, des Körpers oder der Gesundheit bleibt unberührt. Die gesetzliche Haftung nach zwingenden Vorschriften bleibt unberührt.

8. Vertraulichkeit

Alle Kundendaten werden vertraulich behandelt, es sei denn, eine gesetzliche Verpflichtung besteht.

9. Datenschutz

Die Verarbeitung personenbezogener Daten erfolgt gemäß unserer Datenschutzerklärung: www.truenorthstrategy.co/privacy

10. Gerichtsstand und geltendes Recht

Es gilt deutsches Recht. Gerichtsstand ist der Sitz von Kristine Knaub, sofern nicht anders durch Verbraucherschutzgesetze geregelt.

11. Änderungen der AGB

Diese AGB können aktualisiert werden. Änderungen werden auf der Website oder per E-Mail bekannt gegeben.

12. Digitale Produkte und Downloads

Downloads werden nach Zahlung über Squarespace bereitgestellt. Mit Beginn des Downloads wird das Widerrufsrecht aufgehoben (§ 356 Abs. 5 BGB). Rückerstattungen sind nach Beginn des Downloads ausgeschlossen.

13. B2B vs. B2C Klarstellung

Diese Bedingungen gelten sowohl für Verbraucher (§ 13 BGB) als auch für Geschäftskunden (§ 14 BGB). Das Widerrufsrecht gilt nur für Verbraucher.

14. Grenzüberschreitende Verkäufe

Bei EU-Geschäftskunden mit gültiger USt-IdNr. kann das Reverse-Charge-Verfahren (§ 13b UStG) Anwendung finden. Rechnungen werden netto ausgestellt.

15. Technische Einschränkungen

Betriebsunterbrechungen können aufgrund von Plattformausfällen auftreten. True North Strategy haftet nicht für solche Ausfälle.

16. Vertragssprache

Im Falle von Übersetzungsunterschieden gilt die deutsche Version. Vertragssprache ist Deutsch, sofern nicht anders vereinbart.

17. Plattform der EU-Kommission zur Online-Streitbeilegung (OS):

Wir sind nicht bereit und nicht verpflichtet, an Streitbeilegungsverfahren vor einer Verbraucherschlichtungsstelle teilzunehmen (§ 36 VSBG).

True North Strategy veröffentlicht unabhängige redaktionelle und edukationale Inhalte, einschließlich Analysen von Marken und Unternehmen Dritter. Diese Analysen dienen der Veranschaulichung strategischer Prinzipien und Methoden. True North Strategy steht in keiner Verbindung zu den analysierten Marken oder Unternehmen und wird von diesen nicht unterstützt oder gefördert. In unseren Inhalten genannte Markennamen und Markenzeichen sind Eigentum der jeweiligen Inhaber und werden ausschließlich zu Zwecken der analytischen Kommentierung und Bildung verwendet. Es besteht keine geschäftliche Beziehung zu den analysierten Unternehmen, sofern nicht ausdrücklich anders angegeben.
